Constitution of the Morgan Sports Car Club – Yorkshire Centre
1. Name
1.1 The full name of the centre shall be ‘The Morgan Sports Car Club -Yorkshire Centre
2. Objects
2.1 The objects of the Centre are:
2.1.1 To act according to the rules and regulations of the Morgan Sports Car Club Limited (MSCC) as set out in the
Club Handbook published on the MSCC website
2.1.2 To encourage contact between MSCC members through organised events and meetings.
2.1.3 To afford MSCC members such benefits and privileges as it may be possible to arrange.
2.1.4 To be a non-profit making organisation.
3. Management
3.1 Authority and responsibility for the business of the Centre will be vested in the Centre Secretary
assisted by all elected positions.
3.2 To achieve clause 2 the Centre will be administrated by an ‘Open Group’ consisting of the following:-
3.2.1 All members elected to positions in the Centre and whenever possible the past Centre Secretary.
3.2.2 Any members who take an interest
3.3 The ‘Open Group’ requires a quorum of seven, five of whom must hold elected position sand should meet at least
twice a year.
3.4 To comply with GDPR the Centre will hold the listing of current members in electronic devices
which are password protected. The information will not be used for any reason other than to notify members about
Centre events/news.It will not be shared with a third party without the permission of the member.
If membership lapses the details, including any paper copies will delete or destroyed.
4. Membership of the Centre
4.1 Membership shall be on completion of the 'Centre subscription' form and payment of the annual
Centre subscription.
4.2 No refund will be issued for the remainder of the annual subscription should a member wish to resign their
membership.
5. Centre Subscription
5.1 The annual subscription fee shall be due without demand on the 1st January (“the due date”)
5.2 The annual subscription for the following year shall be determined at the AGM or at a specially convened
EGM called in accordance with clause 10.
5.3 If a Centre subscription is not paid within three months following the due date, membership to the Centre
shall be automatically terminated.
6. Centre Finances
6.1 The Centre will have two Bank Accounts: - ‘MSCC Yorkshire Centre’ and ‘Yorkshire Centre Events’
administered by the Treasurer under the guidance of the Centre Secretary.
6.1.1 ‘MSCC Yorkshire Centre’ account will be used for general business.
6.1.2 ‘Yorkshire Centre Events’ is a holding account used for collecting members’ deposits and paying final
balances for future events.
6.1.3 Details of each account to be lodged with both the Centre Secretary and Centre Treasurer.
The Centre Treasurer will forward copies of the bank statements to the Centre Secretary.
6.1.4 The Annual Accounts to be checked by an Independent examiner who shall be a qualified Accountant.
6.2 Authority to release funds from these accounts will rest with the Centre Secretary by means of cheques requiring
signatures from both the Centre Secretary and Centre Treasurer. A member sanctioned by the AGM shall serve as a further signatory and be empowered to act if necessary in the case of the incapacity or prolonged absence of one of
the other two signatories.
6.2.1 In the event of a dispute over the release of funds, member selected to positions should decide by a majority
vote. The Centre Secretary having the casting vote.
6.3 If Centre funds are inadequate, capital items will be purchased using an interest free loan from the MSCC Ltd.
6.4 The Centre shall not profit from the sale of regalia or car badges.
6.5 Members organising events on behalf of the Centre shall have reasonable expenses reimbursed after receipts have
been sanctioned by the Centre Secretary and the Centre Treasurer.
7. Elections and voting rights
7.1 All candidates for posts must be current members of the MSCC and of the Centre.
7.2 Proposals and secondments for positions ideally should reach the Centre Secretary prior to the AGM or EGM.
7.3 At the Centre AGM or EGM each individual named on a current MSCC membership card is allowed one vote.
7.4 Centre members shall be entitled to a proxy vote provided they have given written permission and notify the
Centre Secretary at least 48 hours prior to the meeting.
8. Annual General Meeting
8.1 The ‘Open group’ shall set the venue and the date of the AGM.
8.2 Centre members shall have at least four weeks notice, in writing, of the date and time of the AGM.
8.3 For voting purposes a quorum of 20 Centre members is required.
8.4 The business transacted at an AGM shall include:-
8.4.1 Election of positions for the following year.
Centre Secretary
Vice Centre Secretary – whenever possible.
Centre Treasurer/ Membership
Centre Regalia co-ordinator
Centre Newsletter Editor
Centre Noggin Contacts
Centre M.S.A. Liaison
8.4.2 All positions are to be elected annually.The Centre Secretary and Vice should agree a timescale of tenure.
8.4.3 Approval and passing of the accounts for the previous year ended 31 December.
8.4.4 Presentation of the ‘Classic Car Cup’.
8.5 Centre members wishing to raise issues at the AGM shall notify the Centre Secretary in writing at least
two weeks before the AGM
9. Property
9.1 The Centre Secretary shall be responsible for the safe keeping of records and equipment of the Centre.
9.2 Should the Centre be dissolved all finances and equipment shall pass to the MSCC Ltd.
10. Extraordinary General Meeting
10.1 An Extraordinary General Meeting (EGM) may be called by:-
The Centre Secretary
On the instruction from the ‘Open group’
At the written request of at least ten Centre members or 15% of the Centre membership whichever is the greater.
11. Members not to make a profit out of the Centre
11.1 No Centre member may on any pretence or in any other manner receive any profit or salary from the
funds of the Centre.
12. Alterations to the Constitution.
12.1 Alterations to the constitution shall only be made at the AGM or at an EGM called in accordance with
clause 10.
12.2 Such alterations shall become effective upon a majority vote of the Centre members present.
12.3 Any Centre member proposing an alteration to the constitution shall notify the Centre Secretary of the
details in writing at leastfourweeks before the relevant meeting.
12.4 Any such proposed alteration shall be notified to the Centre members in writing via email, letter, Centre
Newsletter or the Miscellany magazine.
12.5 The Centre Secretary shall notify the MSCC of any alterations to the constitution.
